Terms of Service
These terms apply to anyone who joins the Co·Connect waitlist at coconnect.ai or uses the CoCo app once it opens. They’re written to be read, not to bury you. If a phrase is unclear, email us and we’ll fix it.
01 · TL;DR
The short version
Co·Connect is a platform that connects builders, collaborators, and investors. Right now (May 2026) we’re pre-launch: a waitlist on coconnect.ai. The full product will run at app.coconnect.ai once it opens. These terms cover both phases.
Think of CoCo as a directory plus a request router. We help people surface themselves and reach each other; we don’t run your projects, hold your money, or vouch for anyone you meet.
02 · The operator
Who we are
Co·Connect (“CoCo”, “we”, “us”) is the operator of Co·Connect. We’re pre-incorporation. Once we form a legal entity we’ll update this section with the company name and jurisdiction.

03 · Scope
What the Service is
“The Service” means everything we operate under Co·Connect. Today that’s:
- The waitlist at coconnect.ai, which collects your name, email, role, and intent.
Going forward, the Service also includes:
- The full CoCo app at app.coconnect.ai — profiles, projects, and companies.
- The request router: every interaction between two users is one of three things — a public view, an access request, or a structured invite. Invites come in three flavours: build, collaborate, invest.
- CoCo Formed — monthly idea cycles where CoCo proposes ideas and teams apply to form around them.
- Syndicate coordination spaces.
- Paid subscription tiers (Individual, Pro, Premium), monthly or annual.
Features, copy, and pricing may change before public launch. We’ll keep these terms in step with anything material.
04 · Who can use it
Eligibility
To use the Service you must:
- Be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher).
- Be able to enter a binding contract.
- Not be on any applicable sanctions, denied-persons, or terrorism list.
- Be a real human. One account per person. No bots, no scraping.
05 · Account
Your account
- You can sign in with email and password, or via Google, Facebook, or Microsoft OAuth.
- You’re responsible for keeping your credentials secure and for any activity under your account.
- We may require you to verify your email before certain features unlock.
- You can sign out from all devices at any time. We do this by bumping a session-version field on your account, which invalidates any tokens issued before that moment.
- You can delete your account. We honour a 7-day grace window before we purge your data, and you can cancel deletion any time during that window.
- We can suspend or close accounts that break these terms — fraud, harassment, scraping, dodging fees on matches initiated through CoCo, that sort of thing.
06 · Your stuff
Your content & profile
- You keep ownership of everything you post — your profile, projects, videos, photos, and messages.
- You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, and display that content only to operate and improve the Service.
- You promise you have the rights to anything you upload, and that it doesn’t infringe anyone else’s rights.
- You can delete your content. After deletion it may persist in backups for a limited retention window before it’s fully purged.
07 · How CoCo works
The matching & request system
CoCo is, at heart, a directory plus a request router. In practice:
- You surface yourself: your profile and projects can appear in catalogues and search.
- Other users can send you access requests, or structured invites to build, collaborate, or invest.
- We run basic anti-abuse checks — CAPTCHA, blocks, rate-limits, suspensions. We do not verify identity, references, accreditation, or skill. Do your own diligence before you do real work with someone or send them money.
- Either party can block the other. Blocks pause any open conversation and remove that user from your view.
08 · Money matters
Investing & money
Read this section carefully. It’s the part where we’re most specific.
- CoCo is a discovery and introduction platform. We are not a broker-dealer, investment adviser, exchange, custodian, escrow agent, or syndicate manager.
- We do not solicit, recommend, or process securities transactions on your behalf.
- The “investor” role on a profile only indicates intent. Actual investments happen off-platform between the parties, using their own counsel and their own documents.
- Syndicates on CoCo are coordination spaces, not pooled investment vehicles. There’s no fund formation, no carry, and no fiduciary relationship with CoCo.
- You’re solely responsible for compliance with your jurisdiction’s securities laws — accreditation rules, KYC/AML, and tax.
- Credibility scores, project descriptions, and any “verified” badges on CoCo are signals, not endorsements. Treat them as one input among many.
- Equity percentages, compensation ranges, and other terms captured inside an invite are between the parties. Co·Connect doesn’t enforce, hold, or guarantee them.
09 · CoCo Formed
CoCo Formed
CoCo Formed is a monthly idea cycle. We propose a small number of ideas, teams apply, selected teams form a company around the chosen idea, and investors can register interest.
- Participation rules and timelines are subject to change.
- Selection is discretionary; not every applicant gets in.
- Being selected does not create an employment, partnership, or joint-venture relationship with CoCo. Any such relationship would require a separate written agreement signed by both sides.
- Companies formed through CoCo Formed are owned by their founders, not by CoCo, unless we sign a separate equity agreement.
10 · Plans & credits
Paid plans, credits, refunds
- Payments are processed by Stripe. We don’t store full card numbers.
- The paid tiers are Individual, Pro, and Premium, available monthly or annually.
- Subscription cadence and billing health (active, past_due, etc.) sync from Stripe to your account.
- Credits are an in-app virtual currency. They may be granted, purchased, or earned. They’re non-transferable, non-refundable, and have no cash value outside the platform.
- Refunds may be pro-rated at our discretion. Statutory consumer-protection rights, where they apply to you, are unaffected by this.
- We can change pricing on renewal. We’ll give you notice before a renewal at a new price.
11 · Don’t do this
Acceptable use
Using the Service, you agree not to:
- Commit fraud, money laundering, or any securities violations.
- Harass, threaten, dox, or send hate speech to other users.
- Spam, scrape, or otherwise hammer the Service.
- Circumvent fees on matches that began through CoCo by moving the arrangement off-platform to avoid paying us.
- Upload malware or anything that compromises the Service.
- Steal intellectual property or impersonate someone else.
- Do anything illegal where you live, or where the person on the other end lives.
12 · The stack
Third parties we rely on
We use these services to run CoCo. Their own terms govern their portions. For more on what data flows where, see /privacy.
- Vercel — web hosting.
- Supabase — primary database.
- Cloudflare R2 — file storage.
- Cloudflare Turnstile — anti-bot checks.
- Resend — transactional email.
- Stripe — payments and subscription billing.
- Sentry — error monitoring.
- PostHog — product analytics.
- Vercel Analytics & Speed Insights — web performance.
- Google, Facebook, Microsoft — OAuth sign-in.
13 · No warranties
Service “as is”
The Service is provided as is and as available, with no warranties of any kind, express or implied. We work hard to keep things up, but we can’t promise uninterrupted service, that any match will succeed, that any investment will perform, or that anyone you meet on CoCo is who they say they are. Nothing here removes warranties that the law in your country says we can’t exclude.
14 · Liability cap
Limits on liability
To the maximum extent permitted by law, Co·Connect is not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
Our total aggregate liability for any claim arising out of or related to the Service is capped at the greater of (a) the amounts you have paid us in the 12 months before the claim, or (b) USD $100.
None of this limits liability for our own gross negligence or fraud, and none of it waives mandatory consumer-protection rights you have where you live.
15 · Indemnity
Indemnity
You agree to defend, indemnify, and hold harmless CoCo and its team from any third-party claims, damages, costs, and reasonable legal fees that arise from your content, your off-platform dealings with other users you met through CoCo, or your breach of these terms.
16 · Ending things
Termination
Either of us can end this relationship. You can stop using the Service or delete your account at any time. We can suspend or terminate your access if you break these terms, or if we need to for legal, safety, or security reasons. Sections that should outlast termination — intellectual property, indemnity, liability, and dispute resolution — survive.
17 · If we disagree
Disputes & governing law
We’ll update this section with a specific governing law and forum once we incorporate. For now: if something goes wrong, email hello@coconnect.ai first and we’ll try to work it out in good faith. If that fails, disputes go to a court of competent jurisdiction where the operator resides.
To the extent permitted by law, you and CoCo each agree not to bring class actions against the other. Nothing here waives mandatory consumer-protection rights, including those under EU, UK, and California law.
18 · Updates
Changes to these terms
We’ll post changes here with a new “last updated” date. If a change is material we’ll also email you or show an in-app notice. Continued use of the Service after a change takes effect means you accept the updated terms.
